Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the BakedBot AI platform, website, and related services (“Services”) provided by BakedBot AI, Inc. (“BakedBot,” “we,” “us,” or “our”). By accessing or using the Services, you agree to these Terms.

1. Eligibility

You must be at least 21 years of age and a licensed cannabis dispensary operator or authorized representative to use the BakedBot platform for commercial purposes. By using the Services, you represent that you meet these requirements and that your use complies with all applicable local, state, and federal laws.

2. Account Registration

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us immediately at support@bakedbot.ai if you suspect unauthorized access.

3. Permitted Use

You may use the Services only for lawful purposes. You agree not to:

• Use the Services to send unsolicited marketing communications without proper consent.
• Upload or transmit content that is fraudulent, misleading, or violates applicable cannabis advertising regulations.
• Attempt to gain unauthorized access to any part of the Services or related systems.
• Reverse engineer, decompile, or copy any portion of the platform.

4. Marketing and Messaging Compliance

You are solely responsible for ensuring that any marketing campaigns, SMS messages, or email communications you approve and send through BakedBot comply with applicable laws, including the Telephone Consumer Protection Act (TCPA), CAN-SPAM Act, state cannabis advertising regulations, and any applicable HIPAA requirements. BakedBot provides compliance-aware tooling and review, but final approval authority rests with you. Customers must opt in before receiving marketing messages, and you must honor opt-out requests promptly.

5. Customer Data

Any customer data you provide to BakedBot — including contact lists, purchase history, and segmentation data — remains your property. You grant BakedBot a limited license to process that data solely to provide the Services. You represent that you have the legal right to share that data with us and that affected individuals have been properly notified under applicable privacy law.

6. Intellectual Property

BakedBot and its licensors own all rights to the platform, AI models, generated content templates, and related materials. Nothing in these Terms transfers ownership to you. You retain ownership of content you create using the platform, subject to BakedBot's right to use anonymized, aggregated data to improve the Services.

7. Fees and Payment

Certain features may require a paid subscription. Fees, billing terms, and cancellation policies are described in your order form or subscription agreement, which is incorporated into these Terms by reference. All fees are non-refundable except as required by law or as explicitly stated in your agreement.

8. Disclaimer of Warranties

THE SERVICES ARE PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND. BAKEDBOT DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS. TO THE FULLEST EXTENT PERMITTED BY LAW, BAKEDBOT DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, BAKEDBOT SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES, EVEN IF BAKEDBOT HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. BAKEDBOT'S TOTAL LIABILITY TO YOU SHALL NOT EXCEED THE FEES PAID BY YOU IN THE TWELVE MONTHS PRECEDING THE CLAIM.

10. Indemnification

You agree to indemnify and hold BakedBot harmless from any claims, damages, losses, and expenses (including reasonable attorneys' fees) arising from your use of the Services, your violation of these Terms, or your violation of any applicable law or third-party right.

11. Termination

We may suspend or terminate your access to the Services at any time for material violation of these Terms, non-payment, or as required by law. You may cancel your account at any time by contacting support@bakedbot.ai.

12. Governing Law

These Terms are governed by the laws of the State of Illinois, without regard to conflict-of-law principles. Any dispute arising under these Terms shall be resolved exclusively in the state or federal courts located in Cook County, Illinois.

13. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by email or by posting a notice on the platform. Continued use of the Services after the effective date of changes constitutes your acceptance.
